CEO America, Inc. (“CEO”) operates the CREDITZ® System in the United States of America. The CREDITZ System (“System”) allows you to acquire CREDITZ Digital Currency by dealing with participating Merchants and to spend your CREDITZ Digital Currency for either full or partial payment of any of the goods and services offered for sale by participating Merchants, subject to the following Terms and Conditions.
ENROLMENT IN THE CREDITZ® SYSTEM
BY REGISTERING AS AN ACCOUNT HOLDER IN THE SYSTEM, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND CONDITIONS AND ARE BOUND BY THEM. THESE TERMS AND CONDITIONS MAY BE CHANGED FROM TIME TO TIME. IN ADDITION, YOU CONSENT TO OUR COLLECTION AND USE OF YOUR PERSONAL INFORMATION AS DESCRIBED IN DETAIL IN THIS AGREEMENT.
To be eligible in the System, you must be thirteen (13) years of age or older and have a verifiable United States of America mailing address. Those Account Holders under thirteen years of age must provide the date of birth and have the written consent of their parent or guardian (please refer to the CREDITZ® Kidz Application Form).
The registration of a CREDITZ Account (“Account”) and the receipt of all benefits and awards associated with the System are offered at CEO’s discretion. If CEO accepts your application for registration in the System, it will establish an Account in your name and issue you a CREDITZ Account Card (“Account Card”). You may only enroll for one Account. There is no charge for Account registration. You shall immediately advise CEO if your address changes.
CEO may permit you to link your Account with the Accounts of other Account Holders whose primary residence is the same as yours. A linked Account allows the designated Account Holders to accumulate and spend CREDITZ Digital Currency from one Account. CEO will charge an administrative fee of ten dollars ($10.00) each time you request CEO to either link your household Accounts together or to separate your household Accounts once they have been linked. The administrative fee will not apply if the Account Holders requesting their Accounts to be linked have more than 10,000 CREDITZ combined in their Accounts.
ACQUIRING CREDITZ® DIGITAL CURRENCY
You can acquire CREDITZ® Digital Currency by purchasing products and/or services from Merchants in good standing with CEO, and by responding to questionnaires, participating in special promotions and/or other programs, as determined by CEO.
In order to receive CREDITZ Digital Currency when making a purchase, you must present either your Account Card at the physical point of sale or quote your Account Number when enacting a purchase over another medium (i.e. Telephone, Internet, wireless, etc.) before the sale is completed. CEO will award CREDITZ Digital Currency to your Account only once instructed to do so by a Merchant in good standing with CEO.
Merchants will typically pay you one (1) unit of CREDITZ Digital Currency for every one or two dollars that you spend with them, after discounts and before taxes. Merchants may also offer XtraCREDITZ, from time to time, in addition to their standard offer. Merchants will determine the conditions under which they will permit you to obtain CREDITZ Digital Currency and may change those conditions at any time and without notice. Some of the Merchant locations may not participate in the System.
The Maximum daily acquiring of CREDITZ is limited to Ninety Nine Thousand Nine Hundred (99,900) CREDITZ.
In most cases, your Account will reflect the accumulation of CREDITZ Digital Currency within 24 hours of purchasing or participating in contests, questionnaires or any other activity that promises that you will acquire CREDITZ Digital Currency. CEO is not responsible if a Merchant delays or fails to make such a request or for any other delay in recording CREDITZ Digital Currency in your Account. CEO may refuse to record or honour CREDITZ Digital Currency in your Account, or if already recorded, CEO may cancel them, if CEO cannot confirm that the CREDITZ Digital Currency were properly issued or obtained.
CEO may cancel recorded CREDITZ Digital Currency awarded to you if the issuing Merchant does not pay amounts owing to CEO or instructs CEO to cancel the CREDITZ Digital Currency (for example, you returned or didn’t pay for products or services for which the CREDITZ Digital Currency were originally issued). You agree that any CREDITZ Digital Currency awarded to you for making purchases with Merchants, answering questionnaires, or participating in other offers or programs, are deemed fair and equal exchange for any information that may be collected about you by the System during these interactions. Neither CEO nor any Merchant is responsible for any offer of CREDITZ Digital Currency that is no longer in effect. Any dispute regarding the accumulation or redemption of CREDITZ must be settled between you and the Merchant. CREDITZ Digital Currency totals will be deemed correct unless otherwise substantiated by you by bringing forward evidence satisfactory to CEO. Discrepancies must be addressed to the CREDITZ Account Holder Services, 5940 S. Rainbow Blvd., Las Vegas, NV 89118, within 30 days of the date of the statement on which the discrepancy appeared.
No CREDITZ Digital Currency will be issued for the following: tobacco, lottery tickets, specific concessions and/or other items specified as exclusions by CEO.
CREDITZ Digital Currency may be inherited through a valid legal will. CREDITZ Digital Currency will be given to the executor or administrator of the will only for distribution to the beneficiary. A death certificate and proof of executor or administrator satisfactory to CEO are required. CEO will not be liable or responsible in any manner for any taxes that may be incurred as a result of inheritance of CREDITZ Digital Currency.
SPENDING CREDITZ® DIGITAL CURRENCY
Each unit of CREDITZ® Digital Currency has a digital currency value of 0.01 of a US Dollar when you spend them with a Merchant in United States of America. Merchants in good standing with CEO will accept CREDITZ Digital Currency for full or partial payment of any of the products and services they offer. When you spend CREDITZ Digital Currency to make a purchase, you are entitled to receive from the Merchant all the same benefits you normally receive when you pay with any other form of payment, such as: cash, credit card or debit card.
You may spend your CREDITZ Digital Currency either in-store or through other distribution channels made available by the Merchant, such as over the telephone, online, through wireless devices, etc. Neither CEO nor participating Merchants have any responsibility for failure to accept CREDITZ Digital Currency at the particular point-of-sale that you choose to make your purchase. Merchants will verify that sufficient CREDITZ Digital Currency are in your Account and if the transaction is approved, your Account will be immediately updated to reflect the CREDITZ Digital Currency spent. For your security, only you are authorized to spend the CREDITZ Digital Currency in your Account.
NOTE: The first time you spend CREDITZ, you must spend 500 or more CREDITZ in your CREDITZ Account. After this first initial spend, any amount of CREDITZ Account may be used for spending.
The Maximum daily spending of CREDITZ is limited to Ninety Nine Thousand Nine Hundred (99,900) CREDITZ.
TRANSFERRING CREDITZ® DIGITAL CURRENCY
The Maximum daily transferring of CREDITZ® is limited to Ninety Nine Thousand Nine Hundred (99,900) CREDITZ.
LOST OR STOLEN CARDS
If your Account Card is lost or stolen, immediately report it to CREDITZ® at: account.service@creditz.com or 1-888-420-5500 and CEO will: (i) immediately freeze your Account from further use; (ii) transfer the balance of CREDITZ Digital Currency in your Account into a new Account and; (iii) issue a replacement Account Card to you at no charge.
LIMITATION OF LIABILITY
CEO is not the manufacturer or supplier of any product or service supplied by a Merchant and is not responsible for any offer, representation, statement or claims made by any party that participates in the System. CEO assumes no responsibility for any loss, damage, disappointment, defect, injury, death or expense relating to any purchase made with CREDITZ® Digital Currency for whatever reason or for fraudulent use of your Account.
Neither CEO, Merchants, CEO’s affiliates nor any of CEO’s or their respective officers or directors have any responsibility or liability for any expense, loss, cost, injury, damage, accident or any other matter or thing whatsoever (collectively, “Costs”), however suffered or caused (including compensatory, incidental, indirect, special, punitive, consequential or exemplary damages or damages for loss of income or profits), directly or indirectly arising out of or related to: (i) the System or your participation in the System; (ii) any failure, delay or decision by CEO in administering the System or amending these Terms and Conditions or the basis on which you can spend CREDITZ Digital Currency; (iii) unauthorized or fraudulent use of your Account or linked Account; (iv) any offer, representation, statement or claim about the System, any Merchant or their products or services, made by a Merchant or any other person; (v) the use of any goods or services purchased with CREDITZ Digital Currency or where CREDITZ Digital Currency was awarded. This applies even if CEO or CEOs representatives, affiliates, Merchants or otherwise have been advised of the possibility of such Costs. Merchants are not responsible for the System. Any liability CEO may have to you or anyone else who obtains the benefit of any CREDITZ Digital Currency you spend, under any circumstances, for any negligence, breach of contract or otherwise, is limited to crediting your Account with the number of CREDITZ Digital Currency you spend in connection with those circumstances, or, if no CREDITZ Digital Currency were spent, to a maximum of one-tenth of one cent for each CREDITZ recorded in your Account when the liability arose. In addition, while CEO intends to take reasonable steps to prevent the introduction of viruses or other destructive materials to CEO’s website, CEO does not guarantee or warrant that CEO’s website is free of such items or that access to CEOs website will be uninterrupted or error free. CEO assumes no responsibility for any Costs caused by your access, or inability to access, CEO’s website.
GENERAL
CREDITZ® Digital Currency has no cash value and is not exchangeable for cash, regardless of whether such CREDITZ Digital Currency were purchased or acquired in another manner. At this time CREDITZ Digital Currency may be transferred from one CREDITZ Account Holder to another. CREDITZ Digital Currency is void if sold, exchanged or transferred unless under approved CEO Terms and Conditions. CEO may restrict, suspend or otherwise alter any aspect of the System, including the Terms and Conditions of this agreement, with or without prior notice. CEO may immediately cancel your Account, forfeit all CREDITZ Digital Currency you have accumulated and permanently restrict you from participating in the System if in CEOs sole discretion it is determined that: (i) you have attempted to commit a fraud or abuse upon CEO or the System; (ii) you fail to comply with the Terms and Conditions of this agreement, or any rules, regulations, terms and conditions of any program or promotion relating to the System; (iii) you supply CEO or the System with inaccurate information or, in the case that you move, you fail to provide CEO with your new address within six months of your personal information changing; or (iv) your Account remains inactive for more than two years.
These Terms and Conditions constitute the entire agreement between you and CEO regarding your participation in the System, your entitlement to acquire and spend CREDITZ Digital Currency and your entitlement to any other benefits of the System, and supersedes all previous agreements governing your participation in the System as an Account Holder. Except as expressly contained in these Terms and Conditions, there are no conditions, representations, warranties, express or implied, statutory or otherwise. CEO is the final authority as to the interpretation of these Terms and Conditions and as to any other questions or disputes regarding the CREDITZ System. PRIVACY COMMITMENT
Protecting your privacy is the fundamental principle in our relationship with you. Our Privacy Commitment tells you how we aim to ensure the confidentiality and privacy of the information that you entrust us with.
CEO WILL NOT SELL, RENT, SHARE, OR TRADE ANY IDENTIFIABLE PERSONAL INFORMATION ABOUT ACCOUNT HOLDERS TO ANY THIRD PARTY EXCEPT FOR COMPANIES IN OUR EMPLOY THAT ARE ALSO BOUND BY THIS PRIVACY COMMITMENT.
CEO WILL NOT RELEASE ANY INFORMATION THAT PERSONALLY IDENTIFIES YOU TO ANY OTHER PARTY FOR ANY PURPOSE, OTHER THAN STATED ABOVE, WITHOUT YOUR EXPRESSED PRIOR PERMISSION OR AS REQUIRED BY LAW.
Protecting Your Privacy
CEO is committed to protecting your privacy. In order to increase your security and privacy while participating in the CREDITZ® System:
- Do not divulge your security information to anyone else.

Our Merchants may review and analyze the aggregate statistics about all Account Holders with the purpose of continually serving them better and improving the relevance of the customized product and service offers they make to them.
OUR ADVANCED TECHNOLOGY ALLOWS US TO OFFER YOU HIGHLY PERSONALIZED INTERACTION WITHOUT SACRIFICING YOUR PRIVACY. THE BETTER YOU ALLOW US TO GET TO KNOW YOU, THE MORE OUR COMMUNICATION WILL REFLECT YOUR INTERESTS, NEEDS AND PREFERENCES.
The following information may be collected by CEO and will be protected under this Privacy Commitment and applicable laws and regulations:
- When you join, CEO asks for your personal information, such as your name, address, phone number and other personal data. This data is collected for the purpose of:
- Maintaining your Account and providing you with Account Statements; communicating to you with personalized content tailored to your particular needs and interests; protecting your CREDITZ Digital Currency Account.
- CEO will collect data relating to the purchases you make with Merchants to better understand your interests, needs and preferences.
- CEO may conduct questionnaires to better understand your needs and profiles.
CEO will not make available, sell, rent, share, or trade, any information that would allow the receiving party to personally identify you, unless you specifically instruct us to do so.
Should CEO be contracted by its Merchants to provide billing, invoicing and/or other services, Account Holder agrees that the information residing in the CREDITZ database may be combined with data provided by the Merchant in order to provide additional relevant offers and messages to the Account Holder.
